1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website, GPU compute infrastructure, custom LLM development, model deployment, and research services (collectively, the "Services") provided by INFEAN Data Centers & Research Labs ("INFEAN", "we", "us"). By accessing our website or using our Services, you agree to be bound by these Terms.
2. Eligibility & Accounts
- You must be at least 18 years old and able to enter into a legally binding agreement to use our Services.
- You are responsible for maintaining the confidentiality of your account credentials and API keys.
- You agree to provide accurate, current information when creating an account or requesting a quote.
3. GPU Server Rental
- GPU compute is provided on an hourly, daily, or reserved basis as agreed in your order or quote. Pricing is custom and confirmed in writing prior to provisioning.
- You are solely responsible for the software, models, and workloads you run on rented infrastructure, and for ensuring they comply with applicable law.
- We reserve the right to suspend or terminate access for workloads that violate these Terms, compromise infrastructure security, or breach acceptable use policies (including cryptocurrency mining without authorization, illegal content generation, or denial-of-service activity).
- Uptime SLA commitments, where applicable, are detailed in your service agreement. Service credits, if any, are the sole remedy for SLA shortfalls.
4. Custom LLM Development & Research Collaboration
- Deliverables, timelines, and ownership terms for custom model development engagements are defined in a separate statement of work or master services agreement.
- Unless otherwise agreed in writing, model weights and artifacts developed specifically for a client under a paid engagement are owned by the client upon full payment, while INFEAN retains rights to underlying tooling, frameworks, and general-purpose research developed independently.
- Research collaborations, compute grants, and joint publications are governed by separate collaboration agreements.
5. Acceptable Use
You agree not to use our Services to:
- Develop or deploy models for generating child sexual abuse material, or any content exploiting minors.
- Build or operate malware, ransomware, or systems designed to attack third-party infrastructure.
- Violate intellectual property, privacy, or data protection rights of any third party.
- Circumvent usage limits, security controls, or attempt unauthorized access to other tenants' workloads or data.
- Engage in activity that violates applicable export control or sanctions laws.
6. Fees & Payment
- All fees are quoted in advance based on your specific GPU configuration, duration, and service scope.
- Invoices are due per the payment terms specified in your order confirmation. Late payments may result in suspension of services.
- Taxes, where applicable under Indian GST or other jurisdictional law, are charged in addition to quoted fees unless stated otherwise.
7. Intellectual Property
The INFEAN name, logo, website design, and underlying software (excluding client-owned models and open-source components) are the property of INFEAN Data Centers & Research Labs. Nothing in these Terms transfers ownership of our intellectual property to you, except as explicitly agreed in a signed contract.
8. Confidentiality
Each party agrees to protect the other's confidential information, including proprietary datasets, model architectures, and business information shared during the engagement, using the same degree of care it uses to protect its own confidential information, and not less than reasonable care.
9. Disclaimers & Limitation of Liability
- Services are provided "as is" and "as available." We do not warrant that GPU infrastructure or model outputs will be error-free, uninterrupted, or fit for every specific purpose.
- To the maximum extent permitted by law, INFEAN's aggregate liability arising from these Terms or the Services shall not exceed the fees paid by you in the three (3) months preceding the claim.
- We are not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities, arising from use of our Services.
10. Indemnification
You agree to indemnify and hold INFEAN harmless from claims, damages, or expenses arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights through models or workloads you deploy on our infrastructure.
11. Termination
Either party may terminate Services as specified in the applicable order or service agreement. We reserve the right to immediately suspend access for violations of Section 5 (Acceptable Use) or non-payment, without prior notice where necessary to protect infrastructure integrity.
12. Governing Law
These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi, India, unless otherwise agreed in a specific service contract.
13. Changes to These Terms
We may revise these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms. Material changes affecting active service agreements will be communicated directly.
